An Addendum to the By-Laws of the Fyke Nature Association
April 24, 1998
Establishment of Land Trusts:
The Celery Farm Land Trust
The Ramapo Mountains Land Trust
As one of Fyke's purposes is the preservation of natural areas and open space, the Association shall establish two land trusts. They are: "The Celery Farm Land Trust" (CFLT) and the "Ramapo Mountains Land Trust" (RMLT). Both are dedicated Funds. The CFLT is dedicated to any and all projects having to do with the management and enhancement of the Celery Farm Natural Area in Allendale, N.J. and its watershed. The RMLT is dedicated to the preservation of open space in the Ramapo Mountains of Bergen County, N.J. Through the administration of each, Fyke:
- A) May acquire, hold, administer and dispose of property and assets, both real and personal, for the preservation of natural areas and open space within the purview of each Fund's clearly defined mission.
- B) May apply for, receive and administer grants from private and public sources, federal, state or county, exclusively for the purposes aforesaid.
- C) May work in cooperation with other persons or organizations to support the work of each Fund, which is the work of the Association.
The CFLT is established as of April 30, 1997. The RMLT is established as of April 24, 1998. Both Trusts will remain always separate from the operating budget of Fyke (the Treasury) and from each other.
Both Land Trusts will be administered by the Board of Trustees of The Fyke Nature Association. In its duty, the Board may authorize any officer or officers, agent or agents to enter into any agreements or contracts and deliver or receive any instrument or document in the name of or on behalf of Fyke and its work.
Not withstanding the foregoing, no officer or agent of Fyke shall, in the name of or on behalf of Fyke, enter into any financial undertaking unless the specific transaction shall have been approved by the Board.
